Hm... Shadow would win. Aside from them both having guns, the Phantom's biggest weapon is the mythos that's been built up around him over the centuries - The Ghost Who Walks, the Man Who Can't Die - whereas Shadow has the ability to cloud men's minds.

Red Skull. Last I knew, his mind was still in a body cloned from Steve Rogers complete with Super-Soldier Serum. That means he has the same strength, stamina and reflexes as Captain America. All White Skull really has is his hatred.
